本規約（以下「本規約」）は、合同会社スタイルフリー（以下「当社」）が運営する販売プラットフォーム「Treasure Castle」（以下「当社サービス」）において、出品者が商品・作品等（以下「商品」）の販売を当社に委託する際の条件を定めるものです。当社サービスを通じて商品の販売委託を希望する方（以下「出品者」）は、本規約に同意のうえご利用いただきます。

0. TC Academyとの関係

TC Academy（学習・講師・教材提供等の教育サービス）と、Treasure Castle（商品・作品・サービスの販売基盤）は、当社が運営する別個のサービスです。TC Academyの受講規約・講師関連規約と、本規約はそれぞれ独立した契約です。

TC Academyの講座を受講したこと、または受講料をお支払いいただいたことのみを理由として、次のいずれも自動的に発生することはありません。

• Treasure Castleでの販売資格を取得すること
• 商品が自動的に出品されること
• 商品の取扱いを保証されること
• 商品が販売されることを保証されること
• 一定の収入・利益を得られることを保証されること

Treasure Castleでの販売をご希望の場合は、（1）利用申請、（2）商品審査、（3）取扱条件の合意、（4）本規約への同意、（5）個別商品ごとの条件合意（後述「個別商品合意」）、（6）販売開始、という別途の手続きが必要です。

1. 運営者・販売窓口

当社サービスの運営者は合同会社スタイルフリーです。Treasure Castleは、出品者の商品を市場（当社公式ストア及び当社が運営・出品する外部販売チャネルを含みます）へ届けるための販売基盤であり、購入者に対する販売窓口・契約当事者は、原則として合同会社スタイルフリー／Treasure Castleとなります。購入者にとって「誰から購入しているか分からない」状態が生じないよう、商品ページ、価格表示、決済、顧客対応、発送管理、返品対応及び外部販売チャネル対応は当社が管理します。

2. 利用申請・資格・当社の権限

1. 出品者は、当社所定の方法により利用を申請するものとします。
2. 当社は、申請内容・商品内容等を審査のうえ、利用の可否を判断します。当社は、合理的な理由に基づき、取扱いをお断りする場合があります。
3. 当社は、販売開始後であっても、本規約や各販売チャネルの規約に違反する商品、法令に違反するおそれのある商品その他当社が不適切と判断した商品について、販売の停止・取下げを行うことができます。
4. TC Academyの受講・講師登録の有無は、本項の審査結果に影響を与えることはありますが、それ自体が資格を保証するものではありません。

3. 出品者の表明・保証

出品者は、当社に商品の販売を委託するにあたり、次の事項を表明し、保証します。

• 自らが当該商品について、販売を委託する正当な権限を有していること
• 当該商品が盗品その他不正に取得されたものでないこと
• 当該商品が偽造品でないこと
• 当該商品が第三者の知的財産権（商標権・著作権・意匠権等）を不当に侵害するものでないこと
• 当該商品に重大な欠陥があることを知りながら、これを故意に告げていないということはないこと
• 当社に提供する商品情報（状態、付属品、サイズ、素材、制作期間等）が、合理的に把握し得る範囲で正確であること

講師・第三者の商標、教材、図案等を利用した商品については、出品者が必要な権利（許諾等）を有する範囲でのみ委託販売の対象とすることができます。

4. 禁止商品・取扱いの拒否

次のいずれかに該当する商品は、委託販売の対象外とし、当社は取扱いを拒否できるものとします。

• 法令上の販売禁止物・危険物・規制品
• 各販売チャネル（当社公式ストア及び外部モール等）の禁止商品規約に抵触する商品
• 知的財産権を侵害するおそれのある商品
• その他当社が合理的に不適切と判断する商品

5. 検品・商品説明

当社は、委託を受けた商品について、次の行為を行う権限を有します。

• 商品の確認・状態確認
• 写真撮影
• 商品説明文の作成
• 販売可否の判断

当社は合理的な注意をもって検品・説明作成を行いますが、真贋・状態等について絶対的な保証を行うものではありません。中古ブランド品については当社独自の真贋方針に基づき対応し、出品者による制作品・受注制作品については、その出自（制作者・受注制作である旨等）を商品ページに表示します。

6. 価格（基準精算額方式）

1. 出品者は、商品ごとに「基準精算額」（その商品が販売された場合に出品者が最低限受け取りたい金額）を当社に提示します。
2. 当社は、販売チャネル手数料、決済手数料、送料、梱包費、広告費、関税等、返品リスク、運営コスト及び当社利益を考慮のうえ、購入者向け販売価格を決定します。購入者向け販売価格の最終決定権は、原則として当社に帰属します。
3. 当社は、出品者の基準精算額を下回らない範囲で、値下げ、クーポン、キャンペーン、Best Offer、セール、販売チャネルごとの価格調整を行うことができます。
4. 基準精算額を下回る価格での販売を行う場合は、原則として出品者の追加同意を必要とします。
5. 通常発生する費用（上記手数料等）は、原則として当社が購入者向け販売価格へ織り込むものとし、販売後に多数の費用を控除することで出品者の受取額が不明瞭になるような取扱いは行いません。商品固有の特殊費用が生じる場合は、個別商品合意で別途定めます。

7. 精算

当社は、商品の販売が成立し、購入者からの代金支払いが完了し、かつ返品・取消等により売上が確定しない状態が解消された後、出品者に対し基準精算額（又は合意した精算額）を精算します。具体的な支払日は、個別商品合意又は当社の運用ルールに定めるところによります。

8. 商品の預託・保管

物理的な商品を当社が預かる場合、当社は受領時に商品、状態、付属品、数量、管理番号及び必要に応じて写真を記録します。当社は、通常の合理的な注意をもって商品を保管します。

9. 売れ残り商品の取扱い

長期間販売に至らない商品については、継続販売、値下げ、別販売チャネルでの取扱い、出品者への返却について協議することができます。出品者と連絡が取れないことのみを理由として、出品者の所有物を当社の所有へ自動的に移転させたり、当社が自由に処分したりすることはありません。

10. 出品の取下げ

売買成立前であれば、出品者は当社所定の方法により取下げを申請できます。返送が必要な場合の送料は、原則として出品者の負担とします。既に注文・交渉・販売処理が成立している商品については、当該取引が完了するまで取下げができない場合があります。

11. 返品・返金の内部負担ルール

購入者への対応窓口は当社（Treasure Castle）です。他方、出品者と当社の間の内部的な費用負担は、原則として次のとおり原因に応じて定めます。

• 購入者都合による返品：販売チャネルの返品条件に従います。再販売可能な場合は商品を再度販売可能な状態に戻します。精算前であれば、当該商品について出品者への支払いは発生しません。
• 出品者が提供した情報の重大な誤りに起因する場合：出品者側の負担とします。
• 出品者が申告していなかった重大な欠陥に起因する場合：出品者側の負担とします。
• 偽物・盗品・所有権不存在等に起因する場合：原則として出品者側の負担とします。
• 当社の商品説明ミスに起因する場合：当社の負担とします。
• 当社の誤発送に起因する場合：当社の負担とします。
• 当社の梱包不備に起因する場合：当社の負担とします。
• 配送事故に起因する場合：まず配送会社・配送保険等による補償を利用します。
• eBay等外部プラットフォームによる強制返金の場合：当該プラットフォームのルールに従って購入者対応を行ったうえで、内部的には原因に応じて上記各号に準じて負担を決定します。
• チャージバックの場合：原因を確認のうえ個別に対応します。出品者の虚偽申告や商品の問題が原因であると認められる場合は、当社は出品者に対して求償することができます。

当社は、いかなる場合にも一切の責任を負わないという趣旨の全面的な免責を主張するものではありません。

12. 商品事故（保管中の盗難・紛失・破損等）

当社が保管する商品について、盗難、紛失、破損、火災、自然災害等の事故が生じた場合、当社の故意又は重大な過失による場合には、当社はその責任を免れません。当社の通常の過失による事故については、個別商品合意で定めた基準精算額等を基準として、合理的な範囲で補償を行います。天災その他の不可抗力による損害については、法令上認められる範囲で当社の責任を限定することがあります。

13. 個別商品合意

商品ごとの具体的な取扱条件（基準精算額、販売価格の目安、値下げ可能範囲、販売可能チャネル、保管方法、発送方法、制作期間・発送目安、特記事項等）は、別途「Treasure Castle 委託販売 個別商品合意書」により定めます。本規約と個別商品合意の内容が抵触する場合は、当該商品に関する限り個別商品合意が優先します。

14. 契約期間・変更・終了

当社は、本規約の内容を必要に応じて変更することがあります。重要な変更を行う場合は、当社サービス上での掲示その他適切な方法により周知します。出品者又は当社は、合理的な予告のうえ、本規約に基づく取引関係を終了することができます。ただし、既に成立している取引の処理及び精算義務には影響しません。

15. 秘密保持・個人情報

当社は、出品者から取得した情報を、当社プライバシーポリシーに従い適切に取り扱います。

16. 準拠法・協議

本規約は日本法に準拠します。本規約に関して紛争が生じた場合、当事者は誠実に協議のうえ解決を図るものとします。

Treasure Castle Consignment Seller Terms (English Summary)

Effective: August 28, 2026

These Terms govern the consignment sale of products and works ("Products") through the "Treasure Castle" platform operated by Style Free LLC ("we", "us", "the Company"). Anyone wishing to sell through Treasure Castle ("Seller") must agree to these Terms.

0. Relationship with TC Academy

TC Academy (education, instruction, and course materials) and Treasure Castle (a sales platform for products, works, and services) are separate services operated by the Company, governed by separate agreements. Enrolling in or paying for a TC Academy course does not, by itself, grant selling eligibility on Treasure Castle, guarantee that any item will be listed, guarantee that any item will sell, or guarantee any level of income. Selling on Treasure Castle requires a separate process: (1) application, (2) product review, (3) agreement on terms, (4) acceptance of these Terms, (5) an Individual Product Agreement for each item, and (6) the start of sales.

1. Operator and Point of Sale

Treasure Castle is operated by Style Free LLC. Treasure Castle is a sales platform that brings Sellers' products to market, including our own storefront and external sales channels we operate or list on. The seller of record and point of contact for buyers is, as a rule, Style Free LLC / Treasure Castle, so buyers are never left unsure who they are buying from. We manage product pages, pricing, payment, customer service, shipping, returns, and external channel operations.

2. Application, Eligibility, and Our Rights

Sellers must apply through our designated process. We review applications and products and may decline to take on a product for reasonable cause. Even after sales begin, we may suspend or remove a listing that violates these Terms, a sales channel's rules, or the law, or that we otherwise reasonably consider inappropriate. Enrollment or instructor status at TC Academy may be considered in this review but does not by itself establish eligibility.

3. Seller Representations and Warranties

The Seller represents and warrants that: they have the right to sell the Product; the Product is not stolen; the Product is not counterfeit; the Product does not unreasonably infringe third-party intellectual property; the Seller has not knowingly concealed a material defect; and the information the Seller provides about the Product is reasonably accurate. Products using an instructor's or third party's trademark, teaching materials, or designs may only be consigned to the extent the Seller holds the necessary rights.

4. Prohibited Products

We may decline products that are illegal, dangerous, or restricted; that violate a sales channel's prohibited-items policy; that may infringe intellectual property rights; or that we otherwise reasonably consider unsuitable.

5. Inspection and Listing

We may inspect, photograph, describe, and decide whether to list consigned Products. We take reasonable care in doing so but do not provide an absolute guarantee of authenticity or condition. Pre-owned branded items follow our existing authentication policy; Seller-made or made-to-order items will disclose their origin (maker, made-to-order, etc.) on the product page.

6. Pricing (Reference Settlement Amount Model)

The Seller sets a Reference Settlement Amount for each Product — the minimum amount the Seller wants to receive if it sells. We set the final retail price, factoring in channel fees, payment fees, shipping, packaging, advertising, duties, return risk, operating costs, and our margin; final pricing authority rests with us. We may discount, run promotions, accept offers, or run sales, provided the amount payable to the Seller does not fall below the Reference Settlement Amount without the Seller's additional consent. Ordinary costs are built into the retail price rather than deducted after the sale; item-specific extraordinary costs are set out in the Individual Product Agreement.

7. Settlement

We settle with the Seller after a sale is completed, payment is received, and the return/cancellation window during which revenue is not yet final has closed. The specific payment date is set in the Individual Product Agreement or our operating rules.

8. Custody of Physical Products

When we take physical custody of a Product, we record its condition, accessories, quantity, a management number, and photos where appropriate on receipt, and store it with ordinary reasonable care.

9. Unsold Products

For products that remain unsold for an extended period, we may discuss continued listing, a price reduction, listing on another channel, or return to the Seller. We will not transfer ownership of a Seller's property to ourselves, or dispose of it freely, merely because the Seller cannot be reached.

10. Withdrawing a Listing

Before a sale is finalized, the Seller may request withdrawal. Return shipping costs are, as a rule, borne by the Seller. A Product that already has an order, negotiation, or sale in process may not be withdrawn until that transaction is complete.

11. Internal Allocation of Return/Refund Costs

Treasure Castle remains the buyer's point of contact. Internally, costs are allocated by cause: buyer's own reasons follow the sales channel's return terms, and no payment is due to the Seller pre-settlement; a material error in Seller-provided information, an undisclosed material defect, or a counterfeit/stolen/no-title item is generally the Seller's responsibility; our listing error, mis-shipment, or packaging failure is our responsibility; shipping accidents are first claimed against the carrier or shipping insurance; forced refunds by an external platform (e.g., eBay) follow that platform's rules for the buyer and are allocated internally by cause; chargebacks are investigated case by case, and we may seek reimbursement from the Seller where the Seller's misrepresentation or a product issue is the cause. We do not disclaim all liability under all circumstances.

12. Loss or Damage to Consigned Products

For theft, loss, damage, fire, or natural disaster affecting a Product in our custody, we remain liable for our own intentional misconduct or gross negligence. For ordinary negligence, we provide reasonable compensation based on the Reference Settlement Amount set in the Individual Product Agreement. For force majeure, our liability may be limited to the extent permitted by law.

13. Individual Product Agreement

Item-specific terms (Reference Settlement Amount, indicative retail price, discount range, eligible sales channels, storage method, shipping method, production/shipping timeline, special notes, etc.) are set out in a separate Individual Product Agreement, which prevails over these Terms for that item in case of conflict.

14. Term, Changes, and Termination

We may update these Terms and will give reasonable notice of material changes. Either party may end the consignment relationship on reasonable notice, without affecting settlement obligations for transactions already completed.

15. Confidentiality and Personal Data

We handle Seller information in accordance with our Privacy Policy.

16. Governing Law

These Terms are governed by the laws of Japan. The parties will discuss any dispute in good faith.
